1. Acceptance of Terms

By accessing or using the website and services provided by StartupEdge LLC dba Whyzr (“Whyzr,” “we,” “us”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree, you must not use our Service.

2. Eligibility

The Service is intended for use by businesses and legal entities. You represent that you are at least 18 years old and have the authority to bind the business entity (“Customer”) on whose behalf you are using the Service.

3. Definitions

  • “Service”: The Whyzr financial intelligence platform, website, and related tools.
  • “User Data”: Raw data, files, and financial information (e.g., bank transactions) you upload or connect to the Service.
  • “Derived Data”: Aggregated, de-identified data and statistical models generated by Whyzr from User Data. This data does not contain Personal Data or specifically identify the Customer.
  • “AI Models”: The proprietary algorithms, machine learning weights, and logic used by Whyzr.

4. Access & License

  • 4.1. License to Use: Subject to your payment of applicable fees, Whyzr grants you a non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.
  • 4.2. "Rental" of Intelligence: You acknowledge that while you own your User Data, the specific visualizations, forecasts, and AI-generated insights are proprietary to Whyzr. Your access to these insights is conditional upon maintaining a subscription in good standing.

5. Intellectual Property & Data Rights

  • 5.1. Your Data: You retain all ownership rights to your User Data. You grant Whyzr a worldwide, royalty-free license to host, access, use, process, copy, and display your User Data solely to provide the Service to you.
  • 5.2. Our IP: Whyzr owns all rights, title, and interest in the Service, the AI Models, and all intellectual property rights therein.
  • 5.3. Anonymous Usage & Benchmarking: You agree that Whyzr may create Derived Data from your User Data. Whyzr owns all rights, title, and interest in Derived Data and may use it perpetually for any purpose, including training AI Models, improving the Service, and creating industry benchmarks, provided such data remains de-identified and does not identify you or your business.

6. Third-Party Integrations

Our Service integrates with third-party platforms (e.g., QuickBooks, Plaid, Unified.to).

  • No Warranty: We do not control these third parties and are not responsible for their availability, accuracy, data quality, or security.
  • Your Relationship: Your use of these third-party services is governed by their respective terms and privacy policies.

7. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose.
  • Reverse engineer, decompile, or attempt to extract the source code or model weights of the Service.
  • Scrape data or probe the Service for security vulnerabilities.
  • Share your login credentials with unauthorized users.

8. Financial & AI Disclaimers

WHYZR IS NOT A FINANCIAL ADVISOR, ACCOUNTANT, OR REGISTERED INVESTMENT ADVISOR.

  • Informational Use Only: The Service provides financial simulations and intelligence based on data you provide.
  • AI Limitations: Artificial Intelligence is probabilistic and can make errors ("hallucinations"). Forecasts and insights may be inaccurate, incomplete, or time-sensitive.
  • User Responsibility: You are solely responsible for verifying all outputs before making business decisions. Do not rely on Whyzr as the sole basis for tax, legal, or investment decisions. We recommend consulting with a qualified professional for specific advice.

9. Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WHYZR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability & Indemnification

  • Limitation: To the fullest extent permitted by law, Whyzr shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or data. Our total liability for any claim arising out of these terms shall not exceed the amount you paid to Whyzr in the twelve (12) months preceding the claim.
  • Indemnification: You agree to indemnify and hold harmless Whyzr from any claims, damages, or expenses arising out of your breach of these Terms, your misuse of the Service, or your violation of any law or third-party right.

11. Termination

  • By You: You may cancel your subscription at any time.
  • By Us: We may terminate or suspend your access to the Service at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for non-payment of fees.
  • Effect of Termination: Upon termination, your right to access the Service ceases. You are responsible for exporting your User Data prior to termination. Whyzr may retain Derived Data indefinitely.

12. Governing Law & Dispute Resolution

  • Jurisdiction: These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
  • Arbitration: Any dispute arising under these Terms shall be resolved by binding arbitration in Delaware (or a mutually agreed location). You waive any right to participate in a class-action lawsuit or class-wide arbitration.

13. Changes to Terms

We may modify these Terms at any time. We will notify you of changes by posting the new Terms on this page. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
